CORPORATE LAW IN CAMEROON

The publication of a newly registered company in Cameroon constitutes a mandatory post-incorporation requirement, designed to bring the company's existence to public notice and to secure its legal standing, principally under the provisions of the OHADA Uniform Act. It entails the insertion of a notice of incorporation in a newspaper duly empowered to publish legal notices, ordinarily within one month of registration with the Trade and Personal Property Credit Register (RCCM).

ASPECTS OF PUBLICATION OF INCORPORATED COMPANIES IN CAMEROON

According to Article 257 of the OHADA Law on Commercial Companies and Economic Interest Groups, the following shall be empowered to publish announcements of newly registered companies in Cameroon:

- On the one hand, the Official Gazette and newspapers empowered by the competent authorities to publish them;

- On the other hand, national news dailies in the State Party of the registered office of the company which show proof of effective sales through subscriptions, depositaries or vendors, provided further that:

1°) They have been appearing for more than six months;

2°) They are distributed nationwide.

PUBLICATION THROUGH DEPOSIT OF DEEDS

The publication of a company through the deposit of deeds in Cameroon often termed the "commercial register deposit" is a formal process where a company deposits its constitutive documents, by-laws, and significant structural changes into a public repository (such as a Commercial Register or Registrar of Companies) to provide public notice of its status and activities.

Publication through the deposit of deeds or other documents shall be done at the registry of the Court with jurisdiction in commercial matters at the place of the registered office of the company.

Publication formalities shall be carried out at the instance and on the responsibility of the legal representatives of each company.
